Effective date: 8 September 2026
These Terms of use are an agreement between you and Unlock The Move FZ-LLC, a Free Zone Limited Liability Company registered with Ras Al Khaimah Economic Zone (RAKEZ), with its registered address at FDBC3321 Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, operating the Diwanio brand. They govern your access to and use of the Diwanio websites, applications, APIs, and hosted financial operations services.
1. Accepting these terms
By creating an account, accepting these terms, purchasing a subscription, or using Diwanio, you agree to be bound by this agreement. If you use Diwanio for a company, partnership, or other organisation, you confirm that you are authorised to accept these terms on its behalf and that both you and the organisation will follow them.
If you do not agree, do not create an account or use the service. Additional terms may apply to a feature, promotion, integration, or order and will be shown before that feature is enabled or purchased.
2. Definitions
- Account means the credentials and settings used to access Diwanio.
- Customer Data means information, files, records, instructions, and materials submitted to or created in a workspace by you or your authorised users.
- Services means the Diwanio websites, hosted platform, applications, APIs, and related support that we make available to you.
- Workspace means the Diwanio environment controlled by a subscriber or organisation and its authorised users.
3. Accounts and security
You must provide accurate, current information and keep it updated. You are responsible for your account, your credentials, the devices you use to access the service, and all activity carried out through your account unless the activity resulted from our breach of this agreement.
Do not share credentials where individual accounts are available. Tell us promptly if you suspect unauthorised access, a security incident, or an error in your account. We may require additional verification before changing access or disclosing account information.
4. The Diwanio service
Diwanio provides software for financial operations, records, document intake, collaboration, review workflows, reporting, and related business administration. We may add, change, suspend, or retire features as the service develops. We will take reasonable steps to preserve the core service and communicate material changes that adversely affect a paid feature.
We may provide support, guidance, classifications, calculations, extracted fields, or suggestions. You decide whether to accept, edit, post, send, file, pay, or otherwise act on them.
5. Financial, tax, and professional boundaries
Diwanio is software. It is not a bank, payment institution, tax agent, auditor, law firm, fiduciary, accounting firm, government authority, or certified e-invoicing service provider. A report, tax calculation, document extraction, reminder, readiness status, or AI-generated suggestion is not professional advice, a filing, an audit opinion, or approval by the Federal Tax Authority or any other authority.
You remain responsible for the accuracy and completeness of Customer Data, accounting and tax treatment, professional review, filings, payments, deadlines, retention of records, and compliance with laws and contracts that apply to your business. Obtain advice from a qualified professional when needed.
6. Customer Data
You retain ownership and responsibility for Customer Data. You represent that you have all rights, notices, permissions, and lawful bases needed for us to process Customer Data under this agreement.
You grant us a limited, worldwide, non-exclusive licence to host, copy, transmit, display, transform, and process Customer Data only to provide, secure, support, troubleshoot, and improve the Services, comply with law, and produce aggregated or anonymised information that cannot reasonably identify you or another person.
We may process Customer Data through service providers and integrations as described in our Privacy notice. We do not sell Customer Data. You must not upload malware, unlawful material, or information that you are not permitted to use or disclose.
7. Acceptable use
You must not:
- access or attempt to access another workspace, account, system, or data without authorisation;
- copy, resell, lease, sublicense, distribute, or commercially exploit the Services except as expressly allowed by your subscription or a written agreement;
- reverse engineer, decompile, disassemble, or attempt to discover source code, except to the extent that applicable law does not allow this restriction;
- interfere with service operation, bypass security or usage limits, probe vulnerabilities, or introduce malicious code;
- use Diwanio to infringe rights, violate privacy, deceive, harass, defame, or break applicable law;
- use automated access in a way that creates unreasonable load or evades published technical limits; or
- use Diwanio as a substitute for a required professional review, regulated service, backup, or official government filing system.
8. Integrations and third-party services
Diwanio may connect to services operated by third parties. When you enable a connection, you authorise the relevant exchange of information and are responsible for the accuracy of permissions and credentials. Third-party services are governed by their own terms and privacy notices. We are not responsible for a third party's availability, security, content, or acts outside our reasonable control.
9. Subscriptions, trials, and payment
The applicable plan, price, billing interval, trial terms, usage limits, taxes, and cancellation options will be shown before you confirm an order or change. Unless an order says otherwise, paid subscriptions renew for the selected billing interval until cancelled through the available account or billing process.
You authorise us or our payment provider to charge the payment method you provide for fees, taxes, and other amounts you owe. You must keep billing information current and pay undisputed amounts when due. We may suspend or limit paid features after notice if a payment fails or remains overdue, subject to applicable law.
Fees are generally non-refundable except where required by law, stated in the applicable order, or approved by us. A trial or promotional offer may be limited to one per customer or workspace and may be withdrawn or changed before it is accepted. We may change prices for a future billing period after reasonable notice.
10. Ownership and feedback
We and our licensors own the Services, software, documentation, designs, trademarks, and other material we provide. Your use of Diwanio does not transfer ownership to you. Subject to this agreement and payment of applicable fees, we grant you a limited, non-transferable, non-exclusive right to use the Services during your subscription.
If you send suggestions or feedback, you allow us to use it without restriction or payment, provided that we do not identify you publicly as the source without permission.
11. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care, disclose it only to people or providers who need it for the agreement and are bound to protect it, and use it only for the purposes of the agreement. Confidential information does not include information that is public without breach, already known without restriction, independently developed, or lawfully received from another source.
This section does not prevent a party from making a disclosure required by law, provided it gives advance notice where legally permitted.
12. Security, availability, and backups
We use reasonable measures designed to protect the Services and Customer Data, but no online service is entirely secure or continuously available. Maintenance, updates, emergencies, internet failures, provider outages, and events outside our reasonable control may affect availability.
You should maintain your own appropriate records and exports. Diwanio is not your sole backup or record-retention system unless a written order expressly says so.
13. Suspension and termination
We may suspend access, in whole or in part, when reasonably necessary to prevent harm, respond to a security incident, comply with law, investigate misuse, protect another user, or address overdue fees. We will consider the circumstances and restore access when the reason for suspension is resolved where practical.
You may stop using a free service at any time and may cancel a paid subscription through the available billing process. Either party may terminate this agreement for a material breach that is not cured within a reasonable notice period, or immediately where continued performance is unlawful or cannot reasonably be expected.
On termination, your right to use the Services ends. We will handle Customer Data as described in the Privacy notice and any applicable order, subject to legal retention, security backups, and our ability to provide an export during the period offered for that purpose.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as available" and "as is" basis. We do not guarantee that the Services will be uninterrupted, error-free, complete, secure against every threat, or suitable for your specific accounting, tax, legal, reporting, or operational requirements. We disclaim implied warranties except where they cannot lawfully be excluded.
15. Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, goodwill, anticipated savings, business opportunity, or data arising from this agreement.
To the maximum extent permitted by law, our total liability for claims arising from the Services or this agreement will not exceed the fees you paid or owed for the Services in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud or wilful misconduct where such limitation is prohibited.
16. Your responsibility to us
You will defend and indemnify us, our affiliates, personnel, and service providers against third-party claims, losses, penalties, and reasonable costs arising from your unlawful use of the Services, your Customer Data, your breach of this agreement, or your violation of another person's rights, except to the extent caused by our own breach or misconduct.
17. Changes to these terms
We may update these terms to reflect service, business, or legal changes. We will publish the updated version and identify its effective date. If a change materially affects your rights or obligations, we will provide reasonable notice. If you continue using the Services after the effective date, you accept the updated terms; if you do not accept them, stop using the affected Services and contact us about cancellation.
18. Governing law and disputes
These terms are governed by the laws applicable in the United Arab Emirates and the Emirate of Ras Al Khaimah, without regard to conflict-of-law rules. Subject to any mandatory rights or dispute process that applies to you, the courts of Ras Al Khaimah will have jurisdiction over disputes arising from these terms.
19. General terms
Neither party is responsible for delay caused by events beyond its reasonable control. You may not assign this agreement without our prior written consent, except as part of a transfer of the organisation that controls the subscription. We may assign it to an affiliate or successor in connection with a business reorganisation or sale. If a provision is unenforceable, the remaining provisions continue. This agreement and any applicable order are the entire agreement about the Services and replace earlier discussions about the same subject.
